05 November 2021 - MPR Partners assists Aegean Airlines in acquiring the majority stake in Animawings

MPR Partners successfully assisted Aegean Airlines in becoming the majority shareholder of Animawings, a Romanian leisure operator.
The acquiring of the majority shareholding was accomplished in two successful stages, one in early 2020 (25% of shares), by share transfer and the latest just recently (26% of shares), by a share capital increase. Aegean Airlines currently owns 51% of Animawings.
Assistance provided included overall assessment of the endeavour, conducting complex due diligence, advice in establishing the majority shareholding acquisition legal strategy, drafting and revising the transaction documents based on various scenarios, conducting negotiations involving Animawings’ second shareholder, MCP Holding, as well as in implementing the client’s call option to acquire the majority shareholding.
The matter was complex as the airline sector possesses numerous particularities and nuances, which require specialised assistance, furthermore being a niche, highly regulated sector.

26 October 2021 - MPR Partners involved in an event supporting the victims of sexual crimes

MPR Partners is proud to sponsor an event organized by the Association for the Victims of Sexual Crimes, in partnership with the High Institute for Magistrates. The event takes place between October 26, 2021 an October 29, 2021 and it is an intensive program regarding the evaluation of the validity of sexual abuse depositions of children. The event benefits of the presence of two German specialists, alongside Romanian professionals. The program is dedicated to prosecutors and psychologists and it is a wonderful initiative, seen that in Romania, currently, more than 85% of sexual abuse depositions from children are dismissed due to lack of evidence, before even reaching a prosecutor. 08 September 2021 - EBA’s new AML guidelines

Founding Partner Gelu Maravela recently authored an article which was originally published in Thomson Reuters’ Regulatory Intelligence, with regards to the European Banking Authority’s new Anti-Money Laundering provisions. Developments in technology, together with globalisation, have been accompanied by the proliferation of certain types of misconduct, with instances of fraud sometimes appearing to increase on a daily basis. In an effort to improve competent authorities’ and financial sector operators’ understanding of the anti-money laundering (AML) regulatory framework, on August 2 the European Banking Authority (EBA) launched a public consultation paper on draft guidelines regarding the policies and procedures in relation to compliance management, and the role and responsibilities of the anti-money laundering and countering the financing of terrorism (AML/CFT) compliance officer under Article 8 and Chapter VI of Directive (EU) 2015/849 (the guidelines). 17 August 2021 - Enacting telemedicine in Romania

What started out as a temporary solution to the pandemic became permanent when telemedicine was incorporated into Romanian Health Law through Government Emergency Ordinance no. 196/2020, amending and supplementing Health Law no. 95/2006, which came into force on November 19, 2020. GEO no. 196/2020 only regulates telemedicine in broad terms, and the adoption of implementation norms by Government Decision remains necessary. Although the norms were supposed to be adopted within 45 days of the enforcement of GEO no. 196/2020, no such norms have been yet adopted. 25 June 2021 - Green light for developers of green power generation capacities

The second part of the year 2020 was marked by a very intense regulatory activity carried out by the Romanian Energy Regulatory Authority, including the licensing of various new activities in the energy field such as activity of the electricity aggregator, the development and operation of electricity storage installations, as well as development and operation of new installations for hydrogen generation, thus paving the way for the performance of such activities. 18 May 2021 - The CJEU Advocate General’s opinion in case-392/19 – A step into supplementing European jurisprudence on web linking

On September 10, 2020, Advocate General Maciej Szpunar delivered his Opinion in Case C 392/19 VG Bild-Kunst v Stiftung Preußischer Kulturbesitz, where a request for a preliminary ruling was lodged with the Court of Justice of the European Union (“CJEU” / “Court”) on May 21, 2019. On March 9, 2021, the CJEU delivered its judgement in the case. Apart from certain divergent aspects, the CJEU decision is in line with the Opinion of Advocate General Szpunar. At the same time, by reinforcing the rights of copyright holders in the context of automatic linking, the decision shows the continued commitment of the European institutions to interpret the law as to offer authors a high level of protection. 13 May 2021 - Changes impacting the leasing legislation

There have been some recent changes and novelties in the leasing sector. Amongst the novelties is the elimination of the enforceability of the leasing agreements concluded with a consumer, changes regarding the deadline within which the lessors/financiers may exercise the right to request the termination of the Consumer Leasing Agreements and amendments concerning the consequences related to the breach of obligations by tenants/users under the Consumer Leasing Agreements. 11 May 2021 - Save the date: Independent EU law firm opens its first UK office

14 April 2021 - The Romanian draft law on 5G technology under strong criticism from both public authorities and private stakeholders

The Draft law on the adoption of certain measures concerning informatic and communications infrastructures of national interest and the conditions for deployment of 5G networks initiated by the former Ministry of Transportation, Infrastructure and Communications has undergone a new series of examinations from the relevant public authorities as part of the legislative procedure. Although the formal endorsements have been issued, several authorities, i.e., the Ministry of Justice , the Competition Council , the Economic and Social Council and the Legislative Council have made critical observations on essential aspects that seemed to have been entirely ignored by the initiators of the 5G Draft Law. 21 January 2021 - Loading NIS directive 2.0 for higher cybersecurity protection

Given that the landscape of threats has significantly expanded, it comes as no surprise that the European Commission has proposed a revised version of the Directive concerning measures for a high common level of security of network and information systems across the Union. The Proposal has been published by the Commission on December 16, 2020 and has now reached the preparatory phase in the European Parliament. 18 January 2021 - Electronic signatures in construction, architecture and urbanism

As it is the case with many sectors given the pandemic context which made the need for digitalization obvious, competent authorities were led to adopt several measures in this regard. In this context, the Romanian Government adopted Government Emergency Ordinance no. 140/2020 for the establishment of measures regarding the use of electronic documents in the fields of construction, architecture and urbanism, which regulates the general framework for the use of electronic signatures for purposes of issuing approvals, permits and authorizations by the competent authorities, as an alternative to the physical format of the same.
