29 November 2023 - MPR|Partners in an important photovoltaic project in Constanța county

A new photovoltaic park with a capacity of 60MW shall be built near the town of Ovidiu, Constanta county, on an area of 100 hectares. The project was developed by EnPower Energy, a leading green energy project company, whose CEO is Laurențiu Udrescu and CTO is Florin Danilov, both of whom have extensive experience in the energy sector.

During October this year, after obtaining the Zoning Urban Plan and the Technical Approval for Connection, the project was acquired by Econergy International Ltd, and the EnPower Energy team will continue the coordination until the construction permit is obtained and the project is commissioned. Econergy International Ltd is a large Israeli investor and this acquisition is part of its expansion strategy in Romania, where it owns projects with a combined capacity of 1.5 GW. The company is part of Econergy Renewable Energy Ltd, based in Israel, with operations in Romania, Italy, Greece, Poland, Spain and the UK.

Joining the seller in this transaction is the law firm MPR|Partners. The team dedicated to the development and sale was led by founding partner Gelu Maravela and partner Dana Rădulescu and consisted of 8 lawyers. The assistance provided at both stages (development and sale) consisted of structuring the development, assistance in negotiating and drafting relevant documents and assistance in the overall project development process at all stages. There were also numerous corporate, project development, real estate law and various types of permitting issues (in relation to environmental, real estate and energy issues).

The pharmaceutical sector is highly regulated. Given the important consequences that consumption of medicines may have on human health, Romania has implemented specific rules regarding advertising such products. While there are many ways in which the public is informed about the characteristics of medicines, not all of them constitute advertising. For example, under Romanian law labelling, non-promotional correspondence to answer specific questions regarding medicines, general information on human health that does not refer to medicines, informative notices and materials relating to, for example, packaging changes, adverse reaction warnings that are part of general drug administration precautions, trade catalogues and price lists, provided that they do not include any promotional statements, are not deemed advertising. 23 August 2023 - Finally, Romania is getting there! The contracts for difference, another step in the decarbonation process

The Ministry of Energy recently published for public consultation the draft Government Decision for the implementation and operation of the Contracts for Difference (CfD) support mechanism for low carbon technologies. Through this enactment, the Romanian Government establishes the general legal framework governing the implementation and operation of the support mechanism through contracts for difference meant to foster priority investment in technologies for the production of energy from onshore and offshore wind resources, solar photovoltaic resources, hydro resources, nuclear resources, hydrogen and energy storage systems. 23 March 2023 - MPR|Partners about Digital Operational Resilience Act or “DORA”

Our professionals released a comprehensive article, with regards to a recent European level adopted regulation, aiming to achieve a high level of digital operational resilience for regulated financial entities. Such entities include credit institutions, payment institutions, account information service providers, electronic money institutions, investment firms and crypto-assets service providers, just to name a few. In order to comply with the DORA requirements by the time the same shall apply (starting with January 17, 2025), Financial Entities and ICT Third Party Service Providers will arguably require to assess (preferably together) currently used ICT systems, perform gap analysis and adjust contractual arrangements. 01 March 2023 - MPR|Partners strengthens management levels in Bucharest and London

MPR|Partners started the year with one partnership promotion in the firm’s London office and two managing-level promotions in Bucharest, thus strengthening the leadership layer of several of the firm’s star practice areas. Announced internally at the end of last year, all promotions are effective starting on March 1, 2023.

Cristina Crețu has been promoted to partnership in London. She is a seasoned technology law and data protection expert, with 20 years of experience in the TMT sector. She has worked with the Romanian telecom regulatory authority (ANCOM), has been a regulatory expert with Deutsche Telekom’s Romanian subsidiary as well as a regulatory manager and data protection officer with Liberty Global in Romania, and is now a Senior Technology and Data Protection Consultant with MPR Partners’ Bucharest and London offices. Cristina is also a Vice Chair of the American-Romanian Chamber of Commerce’s Data Protection Task Force, she co-heads the firm’s task force on the Romanian National Council for Digital Transformation and is part of the European Data Protection Board ”Support Pool of Experts” List. In both 2022 and 2023 she has been bestowed the Lexology Client Choice Award for her Data Protection expertise. Cristina joined the firm in January 2020. Such is her reputation in the TMT space that she is frequently interviewed by national TV channels and other mainstream media channels on matters related to her areas of expertise.

Flavia Ștefura is now a managing associate with the firm’s Bucharest office, having over 10 years of experience in the legal space. She is a key member of the firm’s technology and life sciences practice groups, being primarily involved in IP, technology law, data privacy, competition and consumer protection matters. She has previously been part of top tier Romanian law firmsand currently advises high-profile clients active in various industry sectors, such as technology, life sciences, retail, FMCG, banking and finance. Flavia received the Intellectual property Award of Excellence, during Finmedia’s (major local publishing house) Top Lawyers’ Gala 2021 and is a constant contributor to international and local publications as well as webinars host, having (co)authored over 20 guides and articles pertaining to technology, IP and data privacy matters. Besides her LL.B from Paris I Pantheon–Sorbonne University, Flavia holds an LL.M in European Intellectual Property Law, Stockholm University, Sweden. She joined the firm in November 2018.

Diana Borcean is now a managing associate within the firm’s Bucharest office, her main areas of focus being real estate and construction, energy and natural resources, as well as corporate and M&A. Diana singlehandedly dealt with major transactions in various industry sectors and skillfully coordinated the legal team involved. Diana is at the forefront of developments in her areas of focus, and is regularly invited to author articles and other pieces for important publications. 02 February 2023 - MPR|Partners counsel to the buyer of two solar parks

MPR|Partners assisted V-Ridium in the recent acquisition of two photovoltaic parks with a combined production capacity of 6 MWp from two separate privately owned companies. The multimillion-euro transaction, signed in October 2022 and closed on January 18, 2023, is the next step in the local expansion strategy of the Portuguese-listed energy company GreenVolt.

MPR|Partners provided assistance throughout all stages of the transaction, including complex due diligence, the structure of the transaction, the mark-up and negotiation of the transaction documents and all other M&A aspects. Our involvement also included assistance and advice related to the notification to the Competition Council.

The dedicated team, which provided corporate, M&A, regulatory, energy, competition, real estate and permitting assistance was coordinated by Partner Dana Rădulescu and consisted of Partner Daniel Alexie, Senior Associates, Diana Borcean and Flavia Ștefura and Associates Oana Săvulescu and Sonia Benga. Founding Partner Alina Popescu coordinated all antitrust and foreign direct investment work pertaining to the deal.

The cumulative annual turnover of the film industry in Romania is approximately EUR 53 million, derived mainly from foreign productions in Romania.
