MPR|Partners assisted Nawaf Salameh Family Office in the acquisition of Octogon Gas & Logistics Terminal in the Port of Constanța.

Nawaf Salameh Family Office, founded by Dr. Nawaf Salameh, is an investment firm known for strategically investing in various sectors including real estate, hospitality, agriculture, green energy and now other energy. Nawaf Salameh Family Office also owns Alexandrion Group, a leader in the Romanian spirits and sparkling wine markets.

Octogon terminal was privately developed in 2010 and represents a gateway for LPG imports through the Port of Constanta.

Off-shore wind power is an innovative solution for Romania’s energy capabilities, particularly as the country has access to the Black Sea territory. As a source of renewable energy, wind farms have become a prominent project of the European continent to ensure independence from fossil fuels. With suitable geographical elements and a new legislative framework regulating off-shore wind facilities, Romania is now more prepared than ever to follow the net-zero objectives of the European Green Deal. The article discusses the provisions of the new Law 121/2024 on Offshore Wind Energy published in Romania which regulates the wind energy production in offshore territories. The legislation aims to provide a legal framework the projects by abiding to the principles of non-discrimination, loyal concurrence and protection of the natural environment. The Markets in Crypto Asset Regulation (EU) 2023/1114, commonly referred to as MiCA, is a legislative framework applicable in the European Union to crypto-assets and crypto-assets service providers. It will mainly apply from 30 December 2024 (with the exception of Titles III and IV coming into force from 30 June 2024). The Regulation seeks to promote transparency and responsible corporate governance amongst token issuers, thus seeking to protect holders against any liquidity crises and mismanagement similar to the FTX one. The article describes the disclosure and issuance rules for crypto-assets, including special provisions for significant tokens and it is available in full here.

EnPower Energy professionals with the support of MPR|Partners recently completed a new stage of the project in the vicinity of the town of Ovidiu, Constanta county. Thus, for an area of 100 hectares, the construction permit for what is to be a new photovoltaic park with a capacity of 60MW has been obtained.

The project was developed by EnPower Energy, a leading project company in the green energy sector. It was thereafter sold to Econergy International Ltd, part of Israel-based Econergy Renewable Energy Ltd, towards the end of last year.

As was the case during the sale of the project, MPR|Partners has been working with EnPower Energy to coordinate the procedure for obtaining the construction permit. The assistance will continue until the end of the project, i.e. until the commissioning of the new PV park. Currently the ongoing assistance concerns the procedure for obtaining the construction permit for the park’s station.

The team dedicated to this stage of obtaining the construction permit was further coordinated by Gelu Maravela and Dana Rădulescu and is composed of lawyers Carmen Bănică, Sonia Benga and Alexandra Mihailov.

MPR|Partners assisted Verde Magnesium, a major Bucharest based mining company which is backed by the firm’s longstanding client, U.S.A. private equity investor Amerocap, in obtaining concession rights for a major magnesium mining perimeter.

Following ongoing assistance in niche fields pertaining to the mining and natural resources’ exploitation fields, a team of four counsels from MPR|Partners succeeded in obtaining a successful outcome for Verde Magnesium.

Thus, Verde Magnesium has recently won the public tender organized by the National Agency for Mineral Resources of Romania (NAMR) for concession rights on a perimeter in Western Romania. The mining license is soon to be signed and the initial investment into the disused mine and renewable energy powered magnesium processing facilities is estimated at USD 1 billion. Production is set to start in 2027.
